These Terms of Service ("Terms") govern your access to and use of the website https://karenit.net (the "Website") and all services provided by Karen IT Group ("Karen IT", "we", "us", or "our").
By accessing or using our Website or any of the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Website or Services.
By using our Website or Services, you confirm that you have read, understood, and agree to these Terms. Continued use after any modifications constitutes your acceptance of the updated Terms.
You must be at least 18 years of age or the legal age of majority in your jurisdiction to use our Services. By using the Services, you represent and warrant that you meet this requirement.
4.1. Restricted Jurisdictions. Karen IT does not provide, and reserves the right not to provide, any Website access or Services, whether directly or indirectly, to any person, organization, entity, business, or other party located, incorporated, established, ordinarily resident, or operating in any jurisdiction subject to comprehensive sanctions, embargoes, or other restrictions applicable to Karen IT or its operations.
4.2. Restricted Countries and Territories. Without limiting the foregoing, Karen IT currently does not provide Services to customers located in or operating from Afghanistan, Cuba, Iran, North Korea, Syria, Myanmar, Lebanon, Russia, or any other country or territory that Karen IT determines to be subject to comprehensive sanctions, significant international restrictions, or an unacceptable compliance risk. Karen IT may amend, expand, or otherwise modify this list at any time without prior notice.
4.3. Sanctioned Persons and Organizations. Karen IT does not provide Services to, and shall not knowingly enter into or maintain a business relationship with, any individual, organization, company, government body, beneficial owner, representative, or other party that is subject to applicable sanctions, asset-freezing measures, trade restrictions, or other restrictive measures imposed or administered by the United Arab Emirates, the European Union, the United States (including the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC)), or any other applicable sanctions authority or regime.
4.4. Screening and Verification. Karen IT may conduct sanctions, restricted-party, jurisdiction, ownership, beneficial ownership, and other compliance screening before and during the provision of Services. Customers agree to provide accurate and complete information reasonably required for such screening and compliance purposes.
4.5. Prohibited Circumvention. Customers must not use the Services directly or indirectly for the benefit of, or on behalf of, any restricted jurisdiction, sanctioned person, sanctioned organization, or other prohibited party, nor may they use any intermediary, affiliate, representative, reseller, proxy, or other arrangement to circumvent these restrictions.
4.6. Suspension or Termination. If Karen IT determines, in its sole discretion, that a customer, transaction, activity, account, beneficial owner, or other relationship may violate applicable sanctions, export controls, embargoes, or Karen IT's internal compliance requirements, Karen IT may refuse, suspend, restrict, or terminate access to the Website or Services immediately and without prior notice. Karen IT shall not be required to disclose confidential screening methods, sources, or internal compliance determinations.
4.7. No Circumvention or Evasion. Any attempt to circumvent the restrictions set out in this Section, including through false information, misrepresentation of location or identity, use of intermediaries, or concealment of beneficial ownership, constitutes a material violation of these Terms and may result in immediate termination and, where appropriate, reporting to competent authorities.
4.8. Changes to Restrictions. The countries, territories, persons, entities, and activities subject to these restrictions may change from time to time as a result of changes in applicable law, sanctions regimes, regulatory requirements, international measures, or Karen IT's internal risk assessment. Karen IT may therefore update its restricted jurisdictions, parties, and activities without prior notice.
5.1. Where information provided through the Services is marked with a Traffic Light Protocol (TLP) classification, the recipient must comply strictly with all dissemination, disclosure, handling, and use restrictions applicable to that classification.
5.2. TLP:RED. Information marked TLP:RED is intended exclusively for the specific recipient(s) to whom it has been directly provided. It must not be disclosed, forwarded, copied, reproduced, published, uploaded, redistributed, or otherwise made available to any other person or entity without the express written authorization of Karen IT or the originator, as applicable.
5.3. TLP:AMBER. Information marked TLP:AMBER may be shared only within the recipient's organization and strictly with personnel who have a legitimate need to know for the purpose for which the information was provided. Further external disclosure or dissemination is prohibited unless expressly authorized by the applicable TLP restrictions and, where required, by Karen IT or the originator.
5.4. TLP:GREEN. Information marked TLP:GREEN may be shared only within the intended community and must not be publicly released or otherwise distributed beyond the permitted community.
5.5. TLP:CLEAR (or WHITE). Information marked TLP:CLEAR may be shared without restriction, subject to any other applicable intellectual property, confidentiality, privacy, contractual, or legal restrictions.
5.6. Unmarked Information. Unless otherwise expressly stated by Karen IT, information provided through the Services without a TLP classification shall be treated as TLP:AMBER and shall not be externally disclosed or redistributed without prior authorization.
5.7. No Circumvention. Users must not circumvent TLP restrictions by forwarding information through third parties, reproducing or extracting its contents, publishing screenshots or excerpts, uploading the information to public or third-party platforms, using automated systems to redistribute the information, or otherwise making the information available indirectly.
5.8. Responsibility for Recipients. You are responsible for ensuring that any person to whom you lawfully disclose TLP-classified information complies with the applicable TLP restrictions. You must not disclose such information to any person who is not authorized to receive it.
5.9. Breach. Any unauthorized disclosure, dissemination, reproduction, publication, redistribution, or other misuse of TLP-classified information constitutes a material violation of these Terms and may result in immediate suspension or termination of access, without notice, in addition to any other rights or remedies available to Karen IT or the information owner.
5.10. Survival. TLP handling and dissemination obligations survive termination or expiration of access to the Services and remain applicable for as long as the relevant information remains subject to its TLP classification or other applicable confidentiality restrictions.
6.1. Protection of Information. You must take reasonable and appropriate technical and organizational measures to protect any confidential, sensitive, restricted, or security-related information received through the Services against unauthorized access, disclosure, alteration, loss, misuse, or destruction.
6.2. Security Incidents. Any suspected or actual security breach, unauthorized access, compromise of credentials, disclosure, data leak, or other security incident affecting the Website, Services, accounts, systems, or information provided by Karen IT must be reported to Karen IT immediately at [email protected].
6.3. Security Monitoring and Enforcement. Karen IT reserves the right to monitor, log, analyze, investigate, and review access to and use of its Website, platforms, systems, APIs, accounts, and Services for purposes including security, fraud prevention, abuse prevention, compliance, service integrity, incident investigation, and enforcement of these Terms.
6.4. Security Measures. Karen IT may implement or modify technical, administrative, or operational security controls at any time where reasonably necessary to protect its systems, customers, users, data, or Services.
6.5. Unauthorized Access. You must not attempt to gain unauthorized access to any account, system, platform, API, network, infrastructure, data, or functionality belonging to Karen IT or any third party through the Services.
6.6. Preservation and Disclosure. Karen IT may preserve, disclose, or provide information where reasonably necessary to comply with applicable law, legal process, regulatory requirements, sanctions obligations, law-enforcement requests, or to protect the rights, property, security, or legitimate interests of Karen IT, its customers, users, or third parties.
7.1. Karen IT Property. All rights, title, and interest in and to the Website, Services, platforms, software, systems, APIs, tools, technologies, methodologies, processes, documentation, designs, interfaces, databases, threat intelligence, security data, reports, analysis, research, content, and other materials developed, provided, or made available by Karen IT or its licensors are and shall remain the property of Karen IT or its applicable licensors, unless expressly stated otherwise in writing.
7.2. No Transfer of Ownership. Except for the limited rights expressly granted under these Terms or a separate written agreement, nothing in these Terms transfers, assigns, or grants to you any ownership interest or intellectual property rights in any Karen IT property.
7.3. Limited License. Subject to your compliance with these Terms and any applicable service-specific agreement, Karen IT grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the applicable Services, reports, and other deliverables solely for your lawful internal business purposes and only for the period and scope authorized by Karen IT.
7.4. Restrictions. You must not, and must not permit any third party to, copy, reproduce, modify, adapt, translate, distribute, publish, sell, resell, sublicense, lease, license, reverse engineer, decompile, disassemble, extract, scrape, systematically collect, or create derivative works from any Karen IT property, except where expressly permitted by applicable law or authorized by Karen IT in writing.
7.5. Threat Intelligence and Security Data. Threat intelligence, indicators, security classifications, research, analysis, reports, datasets, and other security-related information made available through the Services may incorporate information obtained from third-party sources, public sources, customers, partners, or other contributors. Such information remains subject to the applicable rights, restrictions, licenses, and confidentiality requirements.
7.6. Customer Materials. You retain ownership of information, data, content, and materials that you lawfully submit or provide to Karen IT ("Customer Materials"). You grant Karen IT the limited rights reasonably necessary to host, process, analyze, reproduce, transmit, and otherwise use Customer Materials solely as necessary to provide, secure, maintain, and improve the applicable Services, comply with legal obligations, and enforce these Terms.
7.7. Feedback. Any suggestions, recommendations, ideas, or other feedback voluntarily provided to Karen IT regarding the Website or Services may be used by Karen IT without restriction or compensation, provided that such use does not disclose your Confidential Information.
7.8. Reservation of Rights. All rights not expressly granted under these Terms are reserved by Karen IT and its licensors.
8.1. Fees, payment terms, billing arrangements, renewal terms, and any service-specific charges will be specified in the applicable proposal, quotation, order form, invoice, service agreement, or other written commercial terms.
8.2. Unless otherwise expressly agreed in writing, all fees are non-refundable once paid or once the applicable Service has commenced.
8.3. You are responsible for providing accurate billing and payment information and for paying all applicable fees when due.
8.4. Karen IT reserves the right to suspend or terminate access to paid Services where amounts remain unpaid or where payment is reversed, disputed without legitimate basis, or otherwise invalidated.
8.5. Unless expressly stated otherwise, fees do not include taxes, duties, governmental charges, banking fees, or other amounts imposed by applicable authorities or payment providers, which shall be borne by the customer where applicable.
9.1. To the fullest extent permitted by applicable law, the Website and Services are provided on an "as is," "as available," and "with all faults" basis, without warranties, representations, or guarantees of any kind, whether express, implied, statutory, or otherwise.
9.2. Karen IT does not warrant or guarantee that the Website or Services will be uninterrupted, continuously available, secure, timely, accurate, complete, reliable, error-free, free from malicious code, or suitable for any particular purpose.
9.3. Karen IT does not warrant or guarantee that any threat, vulnerability, malicious infrastructure, malicious content, cyberattack, compromise, abuse, fraud, or other security event will be identified, detected, prevented, investigated, mitigated, removed, or otherwise addressed through the Services.
9.4. Cybersecurity information, threat intelligence, indicators, classifications, reports, analysis, alerts, and other security-related information may be incomplete, inaccurate, outdated, delayed, or subject to change and may originate in whole or in part from third-party or publicly available sources.
9.5. You acknowledge that cybersecurity information is provided as part of a risk-management and information service and should be independently evaluated and validated before being relied upon for critical, operational, legal, financial, security, or other consequential decisions.
9.6. Karen IT does not warrant or guarantee the actions, decisions, availability, accuracy, security, or performance of any third-party service, provider, registrar, registry, hosting provider, telecommunications provider, platform, API, data source, or other third party used in connection with or relied upon by the Services.
9.7. No statement, report, communication, recommendation, classification, alert, or other information provided by Karen IT shall constitute a guarantee that a particular outcome will occur.
10.1. Any breach or suspected breach of these Terms may result in immediate suspension, restriction, or termination of your access to the Website or Services, with or without prior notice and without liability to Karen IT, to the fullest extent permitted by applicable law.
10.2. Karen IT may take any measures it considers reasonably necessary to protect its systems, Services, customers, users, data, intellectual property, security, or legitimate interests, including disabling accounts, restricting access, blocking requests, suspending Services, terminating relationships, preserving relevant information, and investigating suspected misuse or violations.
10.3. Karen IT is not required to provide advance notice or an opportunity to remedy a violation where it reasonably believes that immediate action is necessary for security, legal, regulatory, sanctions, fraud-prevention, abuse-prevention, or other legitimate compliance reasons.
10.4. Serious or repeated violations may result in permanent termination of access and may be reported to appropriate authorities or third parties where Karen IT reasonably determines that such disclosure is necessary or appropriate.
10.5. Suspension or termination of access does not release you from any payment obligations, confidentiality obligations, intellectual property restrictions, indemnification obligations, limitations of liability, or other provisions that by their nature should survive termination.
10.6. Karen IT reserves the right to refuse future access to the Website or Services to any person or organization whose prior conduct, risk profile, compliance status, or use of the Services gives Karen IT reasonable grounds to determine that continued access presents a security, legal, regulatory, sanctions, reputational, or operational risk.
To the fullest extent permitted by law, Karen IT shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use our Services. Our total liability shall not exceed the amount paid by you for the specific Service in the twelve (12) months preceding the claim.
Karen IT reserves the right to modify these Terms at any time. We will notify users of material changes. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
These Terms shall be governed by the laws of the United Arab Emirates.
